Terms of Service

Agreement to Terms

By accessing or using FrameX (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms apply to all users, including organizations, administrators, team members, and viewers who access the Service for field documentation, compliance reporting, and project management purposes.

Description of Service

FrameX is a structured field documentation platform that enables organizations to:

  • Create and manage projects
  • Upload and organize field photos
  • Generate compliance-ready reports
  • Manage team roles and permissions
  • Maintain audit logs and activity tracking

The Service is provided on a subscription basis (SaaS) and may include free trial periods during beta.

Eligibility

To use the Service, you must:

  • Be at least 18 years old
  • Have the legal capacity to enter into binding agreements
  • Be authorized to act on behalf of your organization (if creating an organization account)
  • Not be prohibited from using the Service under applicable Philippine law

Account Registration and Security

Account Creation

You must provide accurate and complete information when creating an account. You agree to update your information as needed to keep it current.

Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

Organization Accounts

If you create an organization account, you represent that you have authority to bind the organization to these Terms. Organization administrators can invite members and assign roles (Admin, Member, Viewer).

User Responsibilities

You agree to:

  • Use the Service only for lawful purposes
  • Not upload content that violates third-party rights
  • Not attempt to access other users' data without authorization
  • Not reverse engineer, decompile, or disassemble the Service
  • Not use the Service to transmit malware, viruses, or harmful code
  • Comply with all applicable Philippine laws and regulations

Content and Data

Your Content

You retain ownership of all content you upload to the Service (photos, reports, project data, etc.). By uploading content, you grant FrameX a license to store, process, and display that content solely for the purpose of providing the Service.

Data Isolation

FrameX uses multi-tenant architecture with row-level security. Your organization's data is logically separated from other organizations and accessible only to authorized users within your organization.

Content Standards

You are solely responsible for ensuring your uploaded content:

  • Does not infringe intellectual property rights
  • Complies with applicable privacy laws (including Philippines Data Privacy Act of 2012)
  • Does not contain sensitive personal information without proper consent
  • Is appropriate for your intended business purpose

Intellectual Property

FrameX and its original content, features, and functionality are owned by FrameX and are protected by Philippine and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Nothing in these Terms grants you the right to use FrameX trademarks, logos, or brand elements without prior written consent.

Beta Service Disclaimer

As this is a beta service:

  • Features may change, be added, or be removed without notice
  • Service availability may be interrupted for maintenance or updates
  • Some functionality may be limited or incomplete
  • We actively seek user feedback to improve the Service

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to: merchantability, fitness for a particular purpose, non-infringement, accuracy or completeness of data, or uninterrupted or error-free operation.

Limitation of Liability

To the maximum extent permitted by Philippine law: FrameX shall not be liable for any indirect, incidental, special, consequential, or punitive damages. FrameX's total liability shall not exceed the amount you paid (if any) for the Service in the 12 months preceding the claim. You acknowledge that FrameX's pricing reflects this allocation of risk.

Indemnification

You agree to indemnify and hold harmless FrameX from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your uploaded content
  • Your violation of any third-party rights

Term and Termination

Term

These Terms remain in effect as long as you use the Service.

Termination by You

You may stop using the Service at any time. You can request account deletion through settings or by contacting support.

Termination by FrameX

We may suspend or terminate your access if:

  • You violate these Terms
  • Your organization's subscription expires
  • We discontinue the Service
  • Required by law or regulation

Data Protection and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information in compliance with the Philippines Data Privacy Act of 2012.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last Updated" date
  • Email notification for significant changes

Continued use of the Service after changes constitutes acceptance of the new Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Metro Manila, Philippines.
